These Terms of Service ("Terms") govern your access to and use of the SureTides website, provider portal, catalog, and any products or services supplied by SureTides Health, Inc. ("SureTides," "we," "us"). By applying for an account, placing an order, or using the provider portal, you agree to these Terms on behalf of yourself and the practice you represent.
SureTides is a business-to-business wholesale channel available only to licensed healthcare practices and the professionals who operate them. It is not open to the general public and is not a consumer storefront.
To use the portal you must be at least 18 years old, legally able to enter contracts, and either a licensed practitioner in good standing or an authorized purchasing agent acting for one. You must also be located in a jurisdiction where we are permitted to supply the products you order.
Submitting an application does not create an account. Every application is reviewed and each of the following is verified before approval:
You agree that all information you provide is accurate and complete, and that you will notify us promptly if a license lapses, a medical director changes, or your practice ceases operations. We may approve, decline, suspend, or revoke any account at our discretion, including where verification cannot be completed.
Portal credentials are issued to named individuals and may not be shared. You are responsible for all activity under your account and must notify us immediately of any suspected unauthorized access.
All products are supplied solely for professional use by qualified practitioners within a legitimate practice setting, or for lawful research use where the product is designated research grade.
Products designated research grade are supplied for laboratory and research use only and are not intended for administration to humans or animals. You are responsible for confirming the appropriate grade for your intended use before ordering.
Prices shown in the provider portal are wholesale prices specific to your account and are confidential. Public pages do not display pricing.
Unless stated otherwise, products ship cold-chain from a United States facility to the commercial address on file.
Because these products are temperature-sensitive, we do not accept returns of opened, used, or temperature-compromised product.
Report visible damage, shortages, or cold-chain failure within 48 hours of delivery, with photographs and the lot number. Verified claims are resolved by replacement or credit at our election.
If we issue a recall or withdrawal, you agree to stop using the affected lot immediately, follow the recall instructions, and cooperate with reconciliation and reporting.
Certificates of analysis, assay results, protocol libraries, and other materials are provided for professional information only. They describe the lot tested and are not a warranty of clinical outcome, and they are not a substitute for your own professional judgment or independent verification.
Nothing supplied by SureTides constitutes medical advice or a recommendation to treat any particular patient.

The SureTides name, logo, site, portal, catalog structure, protocol library, and brand materials are owned by SureTides Health, Inc. and protected by intellectual property law. Approved accounts receive a limited, revocable, non-transferable license to use the marketing and protocol materials we supply for the purpose of operating their own practice. All other rights are reserved.
Except as expressly stated in writing, products and services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the site or portal will be uninterrupted or error-free, or that any product will achieve a particular clinical result.
To the maximum extent permitted by law, SureTides and its officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to these Terms or any product.
Our total aggregate liability for any claim will not exceed the amount you paid to SureTides for the specific product giving rise to the claim during the twelve months preceding the claim.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to indemnify and hold harmless SureTides from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the products, your clinical or research decisions, your violation of these Terms, or your violation of any law or third-party right.
Either party may terminate the account relationship at any time. We may suspend or terminate access immediately, without notice, if we believe there is a compliance, licensure, safety, or payment concern. Obligations that by their nature should survive termination — payment, confidentiality, indemnification, and limitation of liability — survive.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, and waive any objection to venue there.
We may update these Terms from time to time. Material changes will be posted here with a revised "last updated" date and, for active accounts, communicated by email. Continuing to use the portal or place orders after an update constitutes acceptance of the revised Terms.
